PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE LEADCRUMBS WEBSITE AND SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT USE OUR SERVICES.

These Terms of Service (“Terms”) govern your use of the website operated by Upperpod LLC, doing business as Leadcrumbs (“Leadcrumbs,” “we,” “our,” or “us”) and any services we offer (collectively, the “Services”). Our website is located at www.leadcrumbs.com (the “Website”).

1. Privacy Policy

Please refer to our Privacy Policy, available at www.leadcrumbs.com/privacy-policy, which explains how we collect, use, and protect your information. Your use of the Services signifies your agreement to our Privacy Policy.

2. Our Services

Leadcrumbs provides productized data research and enrichment services for B2B outbound teams. These include lead sourcing, enrichment, contact validation, company profiling, CRM cleanup, and related tasks delivered by a dedicated research team via flat-rate monthly plans.

3. Access & Registration

To use our Services, you may be required to provide information such as your name, email address, and billing details. You agree to provide accurate, complete, and up-to-date information, and to keep it updated.

4. Data Protection

We process customer data in compliance with applicable laws, including the General Data Protection Regulation (EU) 2016/679 (GDPR), and our Data Processing Agreement at www.leadcrumbs.com/data-processing-agreement.

When we handle data on your behalf, you are the “controller” and Leadcrumbs is the “processor.” By using our Services, you agree to the terms of our Data Processing Agreement.

5. Subscription Plans & Payment

We offer flat-rate monthly pricing billed every 4 weeks:

• Startup Plan: $499

• Scaleup Plan: $999

• Agency Plan: $1,499

All plans renew automatically every 4 weeks. Your card will be charged at the beginning of each billing cycle unless you cancel.

You can cancel, upgrade, or downgrade at any time. No refunds or partial credits are offered for mid-cycle changes. All payments are processed through a third-party provider, and you agree to their terms when entering billing information.

Unpaid invoices may be subject to late fees and collection costs. We reserve the right to update pricing with 30 days' notice.

6. Term & Termination

All plans are billed every 4 weeks and renew automatically unless canceled. You may cancel at any time before the next billing cycle. Upon cancellation, access to Services will end at the conclusion of your current cycle.

We reserve the right to suspend or terminate access if you breach these Terms or fail to pay fees when due.

7. Intellectual Property

Leadcrumbs retains ownership of all proprietary software, tools, workflows, and systems used in providing the Services. You retain ownership of the lead lists and custom research we deliver to you.

We do not resell your specific deliverables to other customers, though we may use anonymized insights or workflow improvements to enhance our broader service offering.

8. Use Restrictions

You may not use the Services for unlawful purposes or to violate data privacy laws. You agree not to reverse engineer, resell, or exploit any part of the Services without our written consent.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADCRUMBS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE LAST SIX (6) MONTHS.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR EXPECTATIONS.

11. Confidentiality

We both agree to keep confidential any non-public, proprietary information shared during the course of using our Services for a period of two (2) years after disclosure, except where disclosure is required by law.

12. Marketing Use

Unless you opt out in writing, you grant us permission to use your company name and logo for marketing purposes (e.g., on our website or case studies).

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware. Any dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by applicable law.
